- – “Client”: Any individual or entity who engages the services of the Company.– “Supplier”: Any entity providing goods or services to the Company.– “Contractor”: Any entity or individual engaged by the Company for construction or project execution.– “Services”: Any logistics, supply chain, general contracting, or related services provided by the Company.– “Project”: Any work, task, or engagement assigned by the Client to the Company.

Big Treat African Supply Chain and General Contractor Ltd offers a variety of services, including but not limited to:
– Supply chain management and logistics
– Construction services
– Procurement and sourcing of materials
– General contracting and project management
4. Agreement Formation
Big Treat African Supply Chain and General Contractor Ltd offers a variety of services, including but not limited to:
– Supply chain management and logistics
– Construction services
– Procurement and sourcing of materials
– General contracting and project management
5. Payment Terms
– Pricing:All pricing for services or goods will be provided upfront in writing or in a formal contract.
– Invoices and Payment:Payments are due as per the terms agreed in the contract. Late payments will incur interest as specified in the agreement.
– Currency: All transactions are to be carried out in naira # unless otherwise specified.
– Taxes:All applicable taxes, including VAT, are the responsibility of the Client unless otherwise stated.
6. Obligations of the Client/Contractor/Supplier
– The Client agrees to provide all necessary information, resources, and access for the successful completion of the project.
– Contractors and Suppliers must adhere to the agreed timelines, quality standards, and specifications set forth in the contract.
– The Client is responsible for any required permits or legal approvals necessary for the completion of the project.
7. Delivery and Performance
– The Company will make all reasonable efforts to deliver services as agreed, but shall not be held liable for delays due to unforeseen events, including but not limited to weather, labor strikes, or government restrictions.
– Timelines provided are estimates and may be subject to change.
8. Liability and Indemnity
– The Company will not be held liable for any indirect, consequential, or punitive damages arising from the use of our services.
– The Client, Contractor, or Supplier agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising out of the use of our services or breach of the terms.
9. Confidentiality
– All information shared between the Company and the Client, Contractor, or Supplier is confidential and may not be disclosed to third parties unless required by law or with the express written consent of the other party.
10. Intellectual Property
– All intellectual property, including designs, plans, specifications, and software, produced by the Company during the course of providing services remains the property of the Company, unless otherwise agreed in writing.
11. Force Majeure
Neither party shall be held liable for failure to perform its obligations under this agreement due to events beyond their control, including but not limited to natural disasters, acts of terrorism, strikes, or governmental restrictions.
12. Termination
– Either party may terminate the agreement with written notice in the event of a material breach of the terms.
– The Company reserves the right to terminate services if payment terms are not met or if any party engages in unlawful activities.
13. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles.
14. Dispute Resolution
Any disputes arising from the use of our services will be resolved through mediation, and if mediation fails, arbitration in accordance with the Nigerian Institute of Chartered Arbitrators (NICArb)] rules.
15. Amendments
The Company reserves the right to modify these Terms at any time. Changes will be communicated in writing and will apply to all new agreements from the date of the amendment.
